Terms & Conditions for Familiarization Trip Attendees

AGREEMENT TO PARTICIPATE IN EUROPE EXPRESS FAM TRIP 

This letter sets out the contractual details between EEFC, Inc. incorporated in the State of Delaware, USA, whose registered office is at Corporation Trust Center, 1209 Orange Street, Wilmington, Delaware, USA (“Europe Express”) and “you” or “your”.  

Subject to you complying with the terms of this Agreement, Europe Express shall provide you with the trip and services particularised at Part A of Schedule 1 of this Agreement (the “FAM Trip”). The FAM Trip is provided in consideration of (a) you providing the services particularised at Part B of Schedule 1 of this Agreement (the “TA Services”), and (b) making the payment for the FAM Trip as set out in this Agreement.  

The services to be provided by Europe Express as part of the FAM Trip shall be limited to those contained in Part A of Schedule 1. Any other services which are not set out in Part A, Schedule 1 shall not be included within the FAM Trip. Any such services (including, without limitation, any meals not included in the itinerary, gratuities, tour guides etc.) shall be solely at your cost. If the FAM Trip includes any element of accommodation and/or transportation, then you may be required to sign the booking conditions of any relevant accommodation or transportation provider.  

Payment for the FAM Trip and Cancellation 

  1. To confirm your participation in the FAM Trip you must make the payment of $200 USD to Europe Express (the “Deposit”). To make the payment of the Deposit you shall be required to log into and make the payment at Europe Express’ payment link at pay.europeexpress.com the Europe Express portal and make the payment of the Deposit. Once the Deposit is paid you will be provided with a booking confirmation which shall set out, amongst other things, the balance payments which are required for the FAM Trip (the “Booking Confirmation”). In the event that you fail to make any payments for the FAM Trip in accordance with the Booking Conditions and/or the Booking Confirmation then Europe Express reserves the right to cancel your booking without liability. In such circumstances the cancellation terms below shall apply.  
  1. In addition to the Deposit payment, you must also provide Europe Express with your full name, passport details and any other information that is requested by Europe Express for you to participate in the FAM Trip.  
  1. If you decide not to participate in the FAM Trip and cancel your participation in the FAM Trip, then the following cancellation terms shall apply. If you cancel your booking or participation in the FAM Trip (we require written cancellation via email to fams@europeexpress.com):  
  1. 60 (or more) days prior to the departure date of the FAM Trip then you shall forfeit the Deposit, along with any applicable airfare booked through Europe Express and any other services which are set out in the booking confirmation as being non-refundable or subject to immediate cancellation terms.  
  1. 59 to 30 days prior to the departure date of the FAM Trip then a 50% cancellation charge shall be payable in respect of all amounts paid (or payable) for the FAM Trip. 
  1. 29 days or less prior to departure date (or during) of the FAM Trip then a 100% cancellation shall be charged, and no refunds shall be provided.  

Your Obligations 

By accepting this Agreement and participating in the FAM Trip, you shall ensure that:  

  1. You provide the TA Services diligently and to the best of your skill and ability and that you shall always comply in accordance with the Booking Conditions and any other instructions of Europe Express.  
  1. Any images, materials, information, documentation or other items which you provide as part of the TA Services (the “TA Materials”) must not be misleading and not artificially edited in such a way as to give a misleading impression of the effects or benefits of any products offered by Europe Express.  
  1. You shall delete, within 48 hours following a written request from Europe Express, any TA Materials in connection with the Services and any references to Europe Express.  
  1. The TA Materials and use by Europe Express of the TA Materials shall not infringe the rights of any third party. You warrant that the TA Materials shall not include any third-party content, such as music or other branded products, unless you have the necessary third-party consent to use such third-party content.  
  1. The TA Materials shall not include any material which may be considered (without limitation) racist, anti-Semitic, homophobic, misogynistic, pornographic, violent, extreme, bullying, aggressive or religiously intolerant or insensitive, promoting criminal activity or contain personal data. You must not engage in any conduct which may be detrimental or prejudicial to, or affect the name, image, reputation or business of Europe Express.  
  1. You immediately inform Europe Express if you are in breach of or are likely to be in breach of this Agreement, or if you are aware of any relevant circumstances, facts or allegations which might be detrimental or prejudicial to Europe Express or its business.  

Confidentiality and Intellectual Property  

Europe Express retains ownership of all copyright, rights to use and protect the confidentiality of confidential information, trademarks, service marks, trade names, database rights, databases, business names, the right to sue for infringement, unfair competition and passing off, and all similar rights of whatever nature wherever in the world arising, in each case whether registered or not (“Intellectual Property Rights”) subsisting in Europe Express’s brand and its products. You are granted a limited, revocable, non-transferable, non-sublicensable, non-exclusive, worldwide, royalty-free licence to use the necessary Intellectual Property Rights solely to perform the TA Services. By entering into this Agreement, you grant Europe Express an exclusive, royalty-free, perpetual licence throughout the world to use, adapt, copy, reproduce, modify and exploit the TA Materials and any subsisting Intellectual Property Rights in connection with the endorsement, promotion, marketing or advertising of Europe Express and/or its products. As such, you grant to Europe Express all necessary consents under applicable law to enable Europe Express to use the TA Materials as contemplated in this Agreement.  

Neither party shall use or disclose to any person, except to professional representatives or as may be required by applicable law, the terms of this Agreement or any confidential information concerning the business or affairs of the other party, except in accordance with this Agreement or upon the written consent of the other party. Neither party shall use any confidential information except for the performance of its obligations under this Agreement. 

Indemnification and Liability 

You will indemnify, defend, and hold harmless Europe Express, its affiliates, directors, officers, employees and agents from and against any and all suits, claims, demands, losses, damages, costs and expenses of any nature whatsoever including, without limitation, litigation expenses, attorneys’ fees and liabilities incurred in connection therewith, arising out of: (i) any breaches by you of the Booking Conditions, (ii) injury to, or death of, any person or damage to property caused by your negligence; and (ii) a claim that the TA Services and/or TA Materials infringes or violates the intellectual property rights of a third party. 

During the FAM Trip, Europe Express will use its reasonable endeavours to ensure that you are provided with your own room during the FAM Trip. However, this may not always be possible and there may be circumstances whereby you are paired with another TA or other third party during the FAM Trip.  

The FAM Trip is provided by Europe Express solely on an “AS-IS, WHERE-IS” basis and any and all warranties with respect thereto are hereby expressly disclaimed and excluded. Europe Express shall have no liability or obligation whatsoever for any losses relating to the FAM Trip. EACH PARTY MAKES NO OTHER WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED INCLUDING THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EUROPE EXPRESS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR RELIANCE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST OR ANTICIPATED REVENUES OR PROFITS) ARISING OUT OF THIS AGREEMENT, ON ANY THEORY OF LIABILITY EVEN YOU ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF EUROPE EXPRESS FOR ANY CLAIM ARISING UNDER OR RELATED TO THIS AGREEMENT, REGARDLESS OF FORM, SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE FAM TRIP. 

General Terms 

In accepting your appointment under this Agreement, you also agree that: 

  1. You may not assign any of your rights under this Agreement without the prior written consent of Europe Express.  
  1. Nothing herein implies an agency, joint venture, or partnership between the parties. 
  1. This Agreement (including its schedules) constitutes the entire agreement between the parties in respect of the subject matter hereof and supersedes any previous agreement or understanding between the parties.  
  1. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, USA. All disputes (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the courts of the State of Delaware, USA.  

SCHEDULE 1

    THE FAM TRIP

    TA SERVICES 

In consideration of the provision of the FAM Trip by Europe Express you agree to provide the following services:  

  1. Pre-FAM Trip and during the FAM Trip: 
  1. A minimum of five (5) social media posts or a willingness to write a blog for Europe Express. Any blog that is provided must be provided within one (1) month of your return from the FAM Trip and should include your experience of the location and experience on the FAM Trip.  
  1. You will be expected to attend all of the activities which are set out in the Booking Confirmation or itinerary for the FAM Trip (note that this shall include a requirement for you to be able to walk at least 4 miles each day without any issues).  
  1. Post-FAM Trip:  
  1. You shall be required to complete the FAM Trip survey which shall be sent you after the conclusion of the FAM Trip.  
  1. You shall use your best endeavours to provide a minimum of one (1) quote or lead to Europe Express as soon as possible following the conclusion of the FAM Trip.  
  1. In accordance with the instructions of Europe Express and, unless agreed otherwise with Europe Express, to co-host a travel talk (either virtually or in person) with your BDM from Europe Express within 90 days following the return from the FAM Trip.
